Terms of Service

These Terms of Service ("Terms") govern your use of Akira Digital's website and services. By engaging Akira Digital for web design or related services, you agree to these Terms. Please read them carefully before proceeding.

1. Services Provided

Akira Digital ("we," "us," "our") provides professional web design, web development, and related digital services including but not limited to:

2. Project Agreements and Scope

Proposals and Statements of Work

Before work begins, Akira Digital will provide a written proposal outlining the scope of work, deliverables, timeline, and pricing. The project is deemed accepted and begins upon receipt of full payment.

Changes to Scope

Any additions or changes to the agreed-upon scope of work ("scope creep") will require a written change order and may result in additional charges and/or timeline adjustments. We will always communicate additional costs before proceeding with out-of-scope work.

Client Responsibilities

To complete your project on time, you agree to:

Delays caused by client non-responsiveness or late content delivery may extend the project timeline and do not constitute a breach by Akira Digital.

3. Payment Terms

Full Payment Required Upfront

Full payment for all services is required before any work begins. No design, development, or project work will be started until payment has been received and confirmed in full. This applies to all packages — Starter, Growth, Authority, and the Care Plan setup fee (if applicable).

Care Plan Monthly Billing

For the ongoing Care Plan (monthly maintenance), payment is due on the monthly billing date before services for that period are rendered. Services will not be performed for any period in which payment has not been received.

Late or Failed Payments

If a scheduled Care Plan payment fails or is not received, services will be paused until the outstanding balance is settled. Akira Digital reserves the right to suspend or terminate ongoing services for non-payment.

Accepted Payment Methods

We accept payments via Stripe (credit/debit card, ACH bank transfer). Payment links will be provided with each invoice. Stripe's own terms of service apply to all payment transactions.

4. Revisions

Each project package includes a specified number of revision rounds as stated in your proposal:

A "revision round" means a single consolidated list of changes submitted at one time. Additional revision rounds beyond what is included will be billed at $75/hour. A revision does not include new features, new pages, or changes to the fundamental design direction — these are treated as scope changes.

5. Timeline and Delivery

We commit to delivering a first draft of your website within the timeframe specified in your proposal (typically 10 business days for Starter projects). This timeline begins from the later of: (a) receipt of full payment, or (b) receipt of all required client materials.

We are not liable for delays caused by third-party services, client delays, force majeure events, or circumstances outside our reasonable control.

6. Intellectual Property and Ownership

Ownership Upon Payment

Upon receipt of full payment, you own the final website design and all custom code created specifically for your project. Ownership transfers completely — we retain no claim to the work product.

Third-Party Assets

Websites may include third-party assets such as stock photos, fonts, icons, or plugins. These are subject to their own licensing terms. We will inform you of any third-party licenses that require ongoing payments or have usage restrictions.

Portfolio Rights

Unless you explicitly request otherwise in writing, we reserve the right to display your completed website in our portfolio and use it in marketing materials as an example of our work.

Pre-Payment Work

All design concepts, mockups, and code remain the property of Akira Digital until full payment is received. We reserve the right to reuse design elements if a project is cancelled after payment is refunded per the refund policy below.

7. Confidentiality

We will keep confidential any proprietary business information you share with us in the course of your project. We will not disclose your confidential information to third parties without your consent, except as required by law or to provide the services (e.g., sharing information with hosting providers as necessary).

8. Care Plan (Monthly Maintenance)

Service Scope

The Care Plan includes up to 2 hours of content updates per month, security monitoring, daily backups, SEO health reports, and priority support as described in your service agreement.

Billing and Cancellation

The Care Plan is billed monthly on a recurring basis. Either party may cancel the Care Plan with 30 days written notice. You will continue to have access to services through the end of the paid period.

Unused Hours

Unused maintenance hours do not roll over to the following month.

9. Refund Policy

All Sales Are Final

Because full payment is required before work begins, all payments are non-refundable once a project has been initiated. By submitting payment, you confirm that you have reviewed and agreed to the project scope and these Terms.

Cancellation Before Work Begins

If you cancel your project in writing within 24 hours of payment and before any design or development work has commenced, we will issue a full refund. After the 24-hour window, no refund is available as work will have begun.

Care Plan

Monthly Care Plan payments are non-refundable for the current billing period. Cancellation takes effect at the end of the current paid month.

Exceptions

If Akira Digital is unable to deliver the agreed-upon services due to circumstances on our end, we will work with you on a fair resolution, which may include a partial or full refund at our discretion.

10. Warranties and Disclaimers

Our Warranty

We warrant that all work will be performed professionally and that the final website will function as described in the project scope. We will fix any bugs or technical errors in the delivered work at no charge within 30 days of launch (or 60 days for Growth, 90 days for Authority).

No Guarantee of Results

While we design websites with conversion and SEO in mind, Akira Digital does not guarantee specific business results such as increased revenue, a particular number of leads, or specific search engine rankings. Results depend on many factors outside our control including market conditions, competition, and your business operations.

Third-Party Services

We are not responsible for the performance, uptime, or changes to third-party services used in conjunction with your website (e.g., hosting providers, Google Analytics, CRM platforms, payment processors).

11. Limitation of Liability

To the maximum extent permitted by applicable law, Akira Digital's total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to us in the three months preceding the claim.

In no event shall Akira Digital be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Akira Digital and its owners, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorney's fees) arising from: (a) your use of our services; (b) content or materials you provide to us; (c) your violation of these Terms; or (d) your violation of any third party's rights.

Either party may terminate a project engagement with written notice. In the event of termination:

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Texas.

15. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings held in Texas. The prevailing party in any arbitration may be entitled to recover reasonable attorney's fees.

16. Entire Agreement

These Terms, together with any signed proposal or statement of work, constitute the entire agreement between you and Akira Digital with respect to the subject matter herein and supersede all prior or contemporaneous communications, whether oral or written.

17. Modifications to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or prominently posted on our website. Continued use of our services after changes take effect constitutes acceptance of the revised Terms. For active projects, the Terms in effect at the time of project initiation apply for the duration of that project.
